TERMS AND CONDITIONS1. SERVICE DESCRIPTION
Elektrowagen Consulting (“Provider” or “Company”) will perform vehicle data collection and diagnostic reporting services ("Services") for Customer's vehicle(s) as specified in the Sales Order. Services include data collection, analysis, and delivery of a vehicle health report ("Report"). Provider is not affiliated with any vehicle manufacturer and does not perform repairs or maintenance.
2. PROVIDER OBLIGATIONS
Provider shall perform the Services with reasonable care and skill, in accordance with industry standards. Provider shall use qualified personnel and appropriate Diagnostic Tools to perform the Services.
Provider shall deliver the Report to Customer within the timeframe specified in the Sales Order, or if no timeframe is specified, within a reasonable time after the completion of the data collection.
3. CUSTOMER ACKNOWLEDGMENTS AND RESPONSIBILITIES
Customer acknowledges that: (a) Provider is not affiliated with any vehicle manufacturer; (b) Services may affect manufacturer warranties; (c) Reports represent a point-in-time assessment and not a guarantee of vehicle condition; and (d) Customer is solely responsible for any actions taken based on Report information. Customer shall provide accurate vehicle information and reasonable access to the vehicle.
Customer shall not copy, modify, share, or sell the Report, or remove any proprietary notices, except as permitted by law or with Provider’s prior written consent.
4. PAYMENT AND REFUNDS
Payment is due in full at the time the Services are rendered, unless otherwise specified in the Sales Order. Provider accepts payment by credit card, debit card, electronic funds transfer, or other methods specified in the Sales Order.
All fees are non-refundable except as expressly provided in this Article 4, the Sales Order, or as required by applicable law. If Provider cannot collect data due to technical limitations, Customer may receive a refund. No refunds will be issued based on disagreement with Report findings.
5. CANCELLATION
Either party may cancel this agreement as specified in the Sales Order. All cancellation requests must be submitted in writing. If Provider cancels this agreement for any reason other than Customer's breach, Provider will refund all fees paid by Customer. If Customer cancels, refunds will be processed according to the terms in the Sales Order.
6. INTELLECTUAL PROPERTY AND DATA PRIVACY
Provider retains ownership of all diagnostic tools, methodologies, and collected data. Customer receives a non-exclusive license to use the Report for personal or internal business purposes only. Provider may use anonymized data for research and service improvement. Provider will implement reasonable safeguards to protect Customer data and will not sell or share personally identifiable information except as required by law.
7. CONFIDENTIALITY
Both parties agree to maintain the confidentiality of any proprietary information shared during the provision of Services, including but not limited to vehicle data, diagnostic methods, and business information. Each party shall (a) use the same degree of care to protect the other party's Confidential Information as it uses to protect its own Confidential Information of similar nature, but in no event less than reasonable care; and (b) use the other party's Confidential Information solely for the purpose of performing its obligations or exercising its rights under this Agreement.
8. WARRANTIES
Provider warrants that the Services will be performed in a professional and workmanlike manner. This limited warranty is the sole and exclusive warranty provided by Provider. No other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose, are provided.
Customer warrants that they own the Vehicle or have authority from the owner for Provider to perform the Services, and that all information they provide about the Vehicle is accurate and complete.
THE SERVICES AND REPORTS ARE PROVIDED ‘AS IS’ AND ‘AS AVAILABLE,’ WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON‑INFRINGEMENT.
The Services and Reports are informational only and do not promise repair, replacement, or ongoing protection of the Vehicle. Provider does not guarantee that it will identify all potential issues with the Vehicle, the Services are not a substitute for manufacturer‑ recommended maintenance or inspections, and Provider does not warrant that any Report or the Services will prevent future Vehicle malfunctions or breakdowns.
THE SERVICES ARE NOT AFFILIATED WITH, ENDORSED BY, OR SPONSORED BY TESLA, INC. PROVIDER IS NOT AN AUTHORIZED TESLA SERVICE PROVIDER. THE SERVICES MAY AFFECT THE MANUFACTURER'S WARRANTY ON THE VEHICLE, AND CUSTOMER ACKNOWLEDGES THAT IT IS SOLELY RESPONSIBLE FOR UNDERSTANDING THE TERMS OF ANY MANUFACTURER'S WARRANTY.
9. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY COLORADO LAW, PROVIDER'S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY CUSTOMER FOR THE SERVICES. Provider shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, regardless of the form of action, whether in contract, tort, or otherwise.
10. INSURANCE COVERAGE
Provider maintains (1 ) commercial general liability insurance with limits of not less than $1,000,000 per occurrence and $2,000,000 in the aggregate; and (b) professional liability insurance with limits of not less than $1,000,000 per claim and $2,000,000 in the aggregate. <alternative better to use this if you have the typical corporate package>
11. GOVERNING LAW & COMPLIANCE (2,,,,
This Agreement shall be governed by Colorado law.
The Services provided under this agreement do not constitute "motor vehicle service contracts" as defined under Colorado law, which applies to agreements for repair, replacement, or maintenance of a motor vehicle due to defects, accidental damage, or normal wear and tear.
12. DISPUTE RESOLUTION
The parties shall attempt in good faith to resolve any dispute arising out of or relating to this Agreement promptly by negotiation between executives who have authority to settle the controversy. If the dispute has not been resolved by negotiation within 30 days after delivery of the initial notice of negotiation, or if the parties failed to meet within 14 days after delivery, the parties shall submit the dispute to JAMS for mediation, and if the matter is not resolved through mediation, then it shall be submitted to JAMS for final and binding arbitration. This clause shall not preclude parties from (a) seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction, or (b) pursuing final remedy in small claims court.
13. GENERAL PROVISIONS
This Agreement, together with the Sales Order, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings of the parties, whether written or oral. Provider may modify these Terms with notice to Customer. If any provision is found unenforceable, the remaining provisions remain in effect. Failure to enforce any right shall not constitute a waiver. These Terms may be executed electronically and in counterparts.

Certain Personal Information, such as information about personal health, may be characterized as Sensitive Personal Information under certain laws and subject to stricter regulation than other personal information. Before providing it to use, we urge you to carefully consider whether to disclose your Sensitive Personal Information to us.
